Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Memberstack platform (“Platform”), operated by Memberstack (“we”, “us”, or “our”). By creating an account or using the Platform you agree to be bound by these Terms.

1. Definitions

  • Organization — A professional body, association, club, or institution that subscribes to Memberstack to manage its membership.
  • Admin User — A person authorised by an Organization to administer its account on the Platform.
  • Member — An individual registered under an Organization’s membership programme.
  • Platform Plan — The subscription tier selected by an Organization (Free, Professional, Organization, or Enterprise).

2. Account Registration

To use the Platform you must register an Organization account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. Subscription Plans & Billing

We offer the following plans:

  • Paid plans are billed monthly. Payment is processed via our payment partner (Lenco).
  • Your subscription renews automatically each billing cycle unless cancelled.
  • You may upgrade at any time; the new plan takes effect immediately.
  • Downgrades take effect at the end of the current billing period.
  • We reserve the right to adjust pricing with 30 days’ notice.

4. Free Plan

The Free plan is provided at no cost with limited features and capacity. We reserve the right to modify or discontinue the Free plan with 30 days’ notice. Free-plan Organizations exceeding the member limit will be prompted to upgrade.

5. Organization Responsibilities

As an Organization using the Platform, you agree to:

  • Comply with all applicable laws and regulations, including data protection legislation in your jurisdiction.
  • Ensure that you have a lawful basis for collecting and processing your members’ personal data through the Platform.
  • Not use the Platform for any unlawful, fraudulent, or harmful purpose.
  • Keep your account information and payment details accurate and up to date.
  • Be responsible for all content uploaded to your Organization account.

6. Member Data & Privacy

Each Organization acts as a data controller for its members’ data. Memberstack acts as a data processor on behalf of the Organization. Our processing of personal data is detailed in our Privacy Policy.

7. Acceptable Use

You must not:

  • Attempt to gain unauthorised access to the Platform or other users’ accounts.
  • Use automated scripts to collect data from the Platform without permission.
  • Upload malicious code, viruses, or harmful content.
  • Resell, sublicense, or redistribute Platform access without written consent.
  • Use the Platform in a way that could damage, disable, or impair its functionality.

8. Intellectual Property

The Platform, including its source code, design, logos, and documentation, is owned by Memberstack and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose.

Content you upload remains your property. By uploading content, you grant us a licence to host, store, and transmit it solely for the purpose of providing the Platform services.

9. Certificates & Compliance

Where the Platform issues membership or practising certificates, these are generated based on data provided by the Organization. Memberstack does not independently verify professional qualifications or CPD compliance. The Organization is solely responsible for the accuracy of certificate data.

10. Payment Processing & Platform Transaction Fee

Member payments (dues, fees, event registrations) collected through the Platform are processed by integrated third-party payment providers.

A platform transaction fee of 3% is applied to all member payments processed through the Platform. This fee is automatically deducted from each transaction before the remaining amount is settled to the Organization. For example:

  • A member pays K100 for membership renewal.
  • Memberstack retains K3.00 (3% platform fee).
  • The Organization receives K97.00.

This fee covers payment processing infrastructure, platform maintenance, fraud prevention, and ongoing service delivery. The platform fee:

  • Applies to all payment methods (mobile money, card, and bank transfer).
  • Is calculated on the total transaction amount including any applicable taxes.
  • Is visible in payment records and reports accessible to Organization administrators.
  • May be adjusted with 30 days’ written notice to affected Organizations.

Memberstack does not hold funds on behalf of Organizations or Members beyond the time required for settlement processing. Payment disputes should be directed to the relevant Organization.

11. Service Availability

We aim to maintain 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our control.

12. Termination

  • You may cancel your subscription at any time from the admin billing page.
  • We may suspend or terminate accounts that violate these Terms, with notice where practical.
  • Upon termination, you may request an export of your data within 30 days. After that period, data may be deleted.

13. Limitation of Liability

To the maximum extent permitted by law, Memberstack shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Memberstack from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on the Platform at least 14 days before taking effect. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Republic of Zambia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Zambia.
